Aplash Terms of Sale

1. Parties

1.1 These Terms of Sale govern every purchase made through aplash.io/start. Your contract is with APLASH G.K. (APLASH合同会社), a limited liability company (Godo Kaisha, 合同会社) incorporated in Japan, registered at Nishitenma 5-9-10 3F, Kita-ku, Osaka, Japan, trading as Aplash ("Aplash"), and is made by the person or entity named at checkout ("you"). Placing an order confirms acceptance of the version stated at checkout.

1.2 The APLASH brand and trade marks are owned by APLASH PTE. LTD., a private company limited by shares incorporated in the Republic of Singapore under Unique Entity Number 202629798W, with its registered office at 60 Paya Lebar Road, #12-03 Paya Lebar Square, Singapore 409051 ("Aplash Singapore"). APLASH G.K. and Aplash Singapore are members of the same group. Aplash Singapore is not a party to your order and owes no obligation under it unless the written confirmation for your engagement expressly names it as the contracting or invoicing entity, in which case these Terms apply to it in the same way as they apply to APLASH G.K.

2. Services and scope

Each service below states what Aplash performs and what you receive for the checkout price. Where a step of any service must by law be performed by a licensed professional, clause 2.10 applies to that step.

2.1 ACP appointment setup. Appointment of Aplash as your Attorney for Customs Procedures (税関事務管理人) under Customs Act Article 95 (関税法第95条), so that Japan Customs has a party it can reach in Japan for your entries. The service covers: (a) confirmation from your documents that the appointment route is open to you; (b) pre-submission consultation with the covered Japan Customs office; (c) preparation and filing of the Attorney for Customs Procedures notification (税関事務管理人届出書, Form C-7500) with that office; and (d) Aplash standing as the recorded contact for Customs correspondence on your behalf, with correspondence relating to your entries relayed to you. One Japan Customs office is covered per order; each additional office is a separate filing under Customs Act Article 95 and is quoted separately. You remain the importer of record named on the import declaration (輸入申告) at all times, and per-shipment customs work is a separate engagement outside this order.

2.2 GK formation. Formation of a Japan Godo Kaisha for a foreign-owned business, from structure scoping through to the registered entity. The service covers: (a) entity structure, capital and business purpose (目的) scoping against your intended activity; (b) drafting of the articles of incorporation (定款); (c) preparation of the incorporation document set for execution by the founders; (d) coordination of the registration filing with the Legal Affairs Bureau (法務局), carried out with the licensed professionals the filing requires under clause 2.10; and (e) a post-registration document set prepared for bank-account and licence use. A Japan registered address is the separate service at clause 2.7 and is not included in the 2.2 or 2.3 fee.

2.3 KK formation. Formation of a Japan Kabushiki Kaisha for a foreign-owned business. The service covers everything in 2.2 for the KK form, plus coordination of the notarisation of the articles of incorporation (定款認証) before a notary public (公証人), which the law requires for a KK and not for a GK.

2.4 Discovery call. A 45-minute call with an Aplash regulatory lead on your Japan import or market-entry question, prepared against the information you submit at checkout, plus a written summary delivered within two business days of the call naming the laws that apply to your matter, the ministries involved, and the structures open to you. The fee credit in clause 4 applies.

2.5 Professional fee boundary. The price for 2.2 and 2.3 is the Aplash professional fee. It does not include registration and licence tax (登録免許税), articles notarisation fees, company seal production, or the fees of the partner professionals under clause 2.10. Those are billed at cost by the professionals who perform them, and Aplash does not add a margin to them.

2.6 Pass-through costs. Government fees, customs duty (関税), Japan Consumption Tax (消費税), notarisation, translation, courier and third-party professional fees are billed at cost by the party that incurs them, with no Aplash mark-up, and are outside the checkout price.

2.7 Registered address service and term. A Japan registered address of record for your entity. The service covers: (a) the address of record itself; (b) a written address confirmation stating the service start date; (c) postal mail received at the address and scanned to you; and (d) forwarding of physical mail on your written instruction, with courier charges at cost under clause 2.6. The service runs for a 12-month term from the service start date stated in your written confirmation, billed annually in advance. Renewal is quoted before the term ends and takes effect only on your written acceptance.

2.8 Shelf company acquisition and confirmation. Acquisition of a dormant Kabushiki Kaisha or Godo Kaisha that carries an active internet bank account at acquisition. The service covers: (a) sourcing a dormant entity that matches your intended activity; (b) coordination of due diligence on the shell's filing history and account status; (c) coordination of the change registrations for representative director, registered address and business purpose under clause 2.10; and (d) coordination of bank continuity through the ownership change. The entry-tier price applies to a shell whose confirmed purchase cost falls inside the entry band. Aplash confirms the specific shell, its purchase cost, its account status and its filing history with you in writing before any purchase is made. Where only a higher-cost shell is available, Aplash re-quotes and no purchase is made without your written acceptance of the revised figure; where you decline the revised figure, clause 5 applies to the work not yet begun. Whether a bank account continues through an ownership change is decided by the bank and is case-specific.

2.9 Formation fee uplift. The checkout takes the base professional fee for 2.2 and 2.3. Where scoping shows that your matter exceeds the standard scope, the uplift is quoted in writing and no work beyond scoping proceeds without your written acceptance. Where you decline the uplift, clause 5 applies to the work not yet begun.

2.10 Coordination with licensed professionals. Where any step of a service must by law be performed by a licensed professional, such as a judicial scrivener (司法書士) for a registration filing, a notary public for notarisation, or a registered customs specialist (通関士) for customs clearance filings, Aplash coordinates that step with the professional the matter requires: Aplash selects and instructs the professional against your engagement's scope, passes the documents between you and them, and remains your single point of contact. Those professionals bill their own fees at cost under clauses 2.5 and 2.6.

3. Payment

Prices are in US dollars. Payment is taken through Stripe, which processes your card details; Aplash does not receive or store them. Work begins on cleared funds. A Stripe invoice is issued for every order.

4. Discovery call credit

The full discovery call fee is credited against a Statement of Work signed within 30 days of the call. The 30 days run from the call date, not the purchase date. The credit applies once, to one Statement of Work.

5. Refunds

You may cancel for a full refund at any time before Aplash begins work on your matter. Work begins when the mandate for your order is made available for signature at checkout for the ACP appointment, company formation and shelf company services; the scheduling invitation for the discovery call; and the written address confirmation for the registered address service. After that point, the refund is the purchase price less the professional time recorded and any third-party cost already committed, itemised to you in writing. For the registered address service, cancellation after the term has started is refunded pro rata for the unused whole months of that term. Where Aplash determines after purchase that the service is not available to you, the full price is refunded and no fee is retained, except for the shelf company acquisition service: where Aplash's FEFTA and AML screening results in a refusal, Aplash retains fifty per cent (50%) of the price as the fee for the screening it has performed, and refunds the remainder. Pass-through costs already paid to a third party are refundable only to the extent that third party refunds them. Write to support@aplash.io to cancel.

6. Consumption tax

For the ACP appointment service, whose buyers are non-resident by the Customs Act Article 95 eligibility gate, service fees are zero-rated as an export of services under Consumption Tax Act Article 7 (消費税法第7条) and no Japan Consumption Tax is charged on the invoice. For every service, the price shown at checkout is the total amount Aplash charges you for that order, and Aplash adds nothing to it afterwards. The pass-through costs listed at 2.6 are separate, billed at cost by the party that incurs them, and quoted to you in writing before they are committed. Where Japan Consumption Tax applies to your engagement, Aplash confirms the amount with you in writing first, and no further amount is charged without your agreement.

7. Your declarations

The answers you give at checkout, including the dual-use, end-user, Japan presence and food questions, are your representations and Aplash relies on them. Aplash confirms eligibility from documents before any filing. Where a document set contradicts a checkout answer, Aplash may suspend the engagement and clause 5 applies. A material misrepresentation entitles Aplash to terminate without refund of time already recorded.

8. Regulatory outcomes

A notification (届出) is a filing that takes effect when the authority records it, and it is not an approval. Aplash does not state a processing time, a clearance date, or that any authority will accept a filing. Timing and outcome are set by the relevant authority and are case-specific.

9. Delivery

After payment Aplash issues the next step within one business day. Where the next step is a secure link, its access code is sent in a separate message and is never included in a link or shown on a web page, and you are responsible for keeping the code confidential. For the discovery call the next step is the scheduling invitation; for the registered address service it is the written address confirmation.

10. Confidentiality and data

Each party keeps the other's non-public information confidential. Aplash processes your data to deliver the service and to meet its own record-keeping duties, as set out in the aplash.io privacy policy.

11. Liability

Aplash's aggregate liability for any order is limited to the fees paid for that order. Neither party is liable for indirect or consequential loss. Nothing in this clause limits any liability that cannot be limited by law.

12. Exclusion of anti-social forces

12.1 Each party represents and warrants to the other that it is not, and that its officers and material shareholders are not, an organized crime group (暴力団), a member or former member of one within the past five years, an associate or affiliate of one, a corporate racketeer, or any other anti-social force (反社会的勢力); that it has no relationship of funding, control or cooperation with any such force; and that it does not and will not use any such force in connection with any order under these Terms.

12.2 Each party further undertakes that it will not, itself or through a third party, make violent demands, make unreasonable demands beyond its legal entitlement, use threatening words or conduct in connection with any order, or damage the other party's credit or obstruct its business by spreading falsehoods or by fraudulent or forceful means.

12.3 Where a party breaches this clause 12, the other party may terminate every order and engagement between the parties with immediate effect and without prior notice, and is not liable for any loss the breaching party suffers from that termination. Termination under this clause does not limit any claim for damages against the breaching party.

13. Governing law and disputes

These terms are governed by the laws of Japan, and the parties submit to the exclusive jurisdiction of the Osaka District Court.

14. Version

These terms are version v2026-08-30.1, effective August 30, 2026. Aplash may amend them for future orders; the version accepted at checkout governs your order.
